Terms of Service
Effective October 26, 2026
Please read sections 13 to 16 carefully. They limit FencSync's liability and require disputes to be settled by individual binding arbitration, not in court, and not as a class action or before a jury.
1. The agreement
FencSync (fencsync.com) is run by FencSync LLC (formerly Fenceline Tech LLC; FencSync was called Fenceline until October 2026), 13559 W Pala Mesa Dr, Boise, ID 83713 ("FencSync", "we", "us"). These terms are an agreement between us and the business that signs up ("the company", "you"). By creating an account, clicking to accept, or using FencSync, you agree to them. The person who signs up confirms they are authorized to bind the company. FencSync is for businesses only, not for personal or household use. Everyone who uses the company's account must follow these terms, and the company is responsible for them. These terms are also FencSync's end-user license agreement.
2. The service
FencSync is online software for fence companies: fence layouts on a map, materials lists, quotes, scheduling, shop staging, notifications, and connections to other services such as QuickBooks Online. We may improve, change or retire features; we will tell company admins before removing something important. Features marked beta or trial are provided as they are, without any commitment.
3. Not professional advice
FencSync is a calculation and planning tool. It is not engineering, surveying, legal, tax or accounting advice, and it doesn't replace your own judgment. You alone are responsible for measurements, property lines, permits, building codes, HOA rules, utility locates (call 811 before you dig), materials orders, prices, quotes, contracts with your customers, and the quality and safety of your work. Satellite images, property lines, addresses and other map data come from third parties and can be wrong or out of date.
4. Accounts and people
- You choose who has an account and what they can do. You are responsible for everything done under your company's accounts.
- Keep sign-in details private, and use two-factor sign-in for anyone who handles money or customer data.
- Tell us straight away at support@fencsync.com if you think an account has been misused.
5. Fees, billing and trials
- You pay the fees for your plan: the base plan, one-time fees, extra seats, and the modules and add-ons that are on, as shown in Admin → Your plan or a signed order form.
- Fees are billed monthly in advance through Stripe and are due as each invoice says. Changes during a month are prorated. Fees don't include taxes; you pay any taxes that apply, other than taxes on our income.
- A card fee is added to card payments where your plan has one. Bank transfer (ACH) has no fee.
- We may change prices with at least 30 days' notice; the new price applies from your next billing period.
- A free trial ends on the date shown. To keep using FencSync after it, subscribe.
- If a payment is late we may mark the account Payment overdue, charge interest of 1.5% a month (or the most the law allows, if less) on amounts more than 15 days late, and suspend the account after notice. You pay reasonable costs of collecting overdue amounts.
- Fees are not refundable, including for part of a month, except where the law requires.
6. Your data
- Your company's data stays yours: jobs, drawings, quotes, prices, materials, photos, and your customers' details ("Your Data").
- You give us permission to host, copy, process and display Your Data only to run, support and improve FencSync for you, as described in our Privacy Policy. We may use data that has been combined and de-identified so it can't identify you or any person, for example to improve the software and see how it's used.
- You are responsible for Your Data: that you may collect and use it, that it's accurate, and that you have your customers' consent where the law requires it, including consent to receive text messages (see the SMS Terms).
- You can download your data while your account is open, and for 30 days after it closes. After that we delete it within 90 days, except records the law requires us to keep.
- Keep your own copies of anything important. We back up our systems, but we are not responsible for data lost, except as section 14 allows.
7. Your customers and your messages
Your contracts, quotes, invoices and dealings with your customers and neighbors are between you and them. FencSync isn't a party to them and isn't responsible for them. When FencSync sends emails or text messages on your behalf, you are the sender: you are responsible for following the laws on calls, texts and email, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM, and for honoring opt-outs.
8. Other services you connect
When you connect QuickBooks Online, Stripe, Twilio, map providers or another service, that service's own terms apply between you and it. Connecting QuickBooks lets FencSync read and change your QuickBooks company only for the features you use: customers, items and invoices from sold jobs, and their payment status. Check what FencSync sends to them; you can disconnect at any time. We are not responsible for other services, their data, outages, fees or changes.
9. Acceptable use
Don't use FencSync to break any law, harass anyone, send messages people haven't agreed to, or upload anything you don't have the right to or that contains malware. Don't try to reach another company's data, test or get around our security, copy, resell, rent or reverse engineer the software, build a competing product from it, or put an unreasonable load on it. We may suspend access that breaks these rules or puts others at risk.
10. Our software
FencSync, including its software, designs and content, belongs to FencSync LLC and its licensors and is protected by intellectual property laws. While your subscription is active, we give you a limited, non-exclusive, non-transferable right for your company's people to use it for your business. If you send us ideas or feedback, we may use them freely without paying you.
11. Confidentiality
Each side will keep the other's non-public business information confidential, use it only for this agreement, and protect it with reasonable care. This doesn't cover information that is public, that the receiving side already had or got lawfully from someone else, or that the law requires it to disclose (after telling the other side where allowed).
12. Ending the agreement
You can cancel at any time; it takes effect at the end of the period you've paid for. We may suspend or end your account if fees are unpaid or you break these terms, telling your admins first where we reasonably can, and may end the service for everyone with 60 days' notice. Sections that by their nature should continue, including 5 (amounts owed), 6, 7, 10, 11 and 13 to 18, continue after the agreement ends.
13. Disclaimer of warranties
FENCSYNC IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, FENCSYNC LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DON'T PROMISE THAT FENCSYNC WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT MEASUREMENTS, MATERIALS LISTS, QUOTES, MAP DATA OR OTHER RESULTS WILL BE CORRECT. YOU USE THEM AT YOUR OWN RISK AND SHOULD CHECK THEM.
14. Limit of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) FENCSYNC LLC AND ITS OWNERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OR GOODWILL, LOST OR CORRUPTED DATA, WRONG ESTIMATES OR MATERIALS ORDERS, WORK DELAYS, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF WARNED THEY WERE POSSIBLE; AND (B) THEIR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO FENCSYNC OR THESE TERMS, WHATEVER THE LEGAL THEORY, IS LIMITED TO THE FEES YOU PAID FENCSYNC IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM, OR $100 IF YOU HAVE PAID NOTHING. THESE LIMITS ARE AN ESSENTIAL PART OF THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
15. Your indemnity
You will defend and indemnify FencSync LLC and its owners and employees against any claim, loss, fine, damages, cost or expense (including reasonable attorneys' fees) arising from: Your Data; your work, quotes, contracts or dealings with your customers, neighbors, employees or subcontractors; messages sent for your company; your use of connected services; or your breach of these terms or the law. We will tell you about the claim promptly, let you control the defense (you may not settle in a way that admits fault for us or binds us without our consent), and cooperate at your cost.
16. Disputes: informal resolution, arbitration and class action waiver
- Talk first. Before starting any claim, the side with the complaint sends written notice to the other (for us: support@fencsync.com and our mailing address) and both try in good faith to resolve it for 30 days.
- Binding arbitration. Any dispute, claim or controversy arising from or relating to FencSync or these terms, including whether this section applies, will be settled by confidential, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Boise, Idaho (or by video, if both agree). Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
- Exceptions. Either side may bring an individual claim in small claims court, and either side may ask a court for an injunction to protect its intellectual property or confidential information or to stop misuse of the service. Collecting unpaid fees may also be pursued in court.
- No class actions; no jury. Claims may only be brought individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not combine claims of more than one company. TO THE EXTENT ANY CLAIM GOES TO COURT, BOTH SIDES WAIVE THE RIGHT TO A JURY TRIAL.
- Time limit. Any claim must be started within one year after it arose, or it is permanently barred, to the extent the law allows.
- If the class action waiver is found unenforceable for a claim, that claim goes to court (not arbitration) and the rest of this section still applies.
17. Law and courts
These terms are governed by the laws of the State of Idaho, without regard to conflict-of-law rules. Subject to section 16, the state and federal courts in Ada County, Idaho have exclusive jurisdiction, and both sides agree to them.
18. General
- Events beyond our control. We're not responsible for delays or failures caused by events outside our reasonable control, such as outages of internet, hosting or connected services, power, natural disasters, war, labor disputes or government action.
- Changes to these terms. We may update these terms by posting them here with a new effective date. For an important change we'll tell company admins at least 30 days before it takes effect. Continuing to use FencSync after that means you accept the change.
- Assignment. You may not transfer this agreement without our written consent. We may transfer it with our business or assets.
- The whole agreement. These terms, the Privacy Policy, the SMS Terms and any signed order form are the whole agreement and replace earlier discussions. A signed order form wins over these terms only for what it lists.
- If a part is unenforceable, it's enforced as far as the law allows and the rest stays in effect. Not enforcing something isn't a waiver.
- No third-party rights. Nobody else, including your customers, has rights under these terms.
- Independent parties. Neither side is the other's agent, partner or employee.
- Notices to you go to your company's admin email or appear in the app; notices to us go to support@fencsync.com and our mailing address.
